Powers and Duties of the Officers and Employees of the Company:

 

The business of the Company is managed by the Directors appointed by the Govt. of India and Govt. of Andhra Pradesh.  Govt. of India and Govt. of AP being promoters of the Company have the right to be represented on the Board of Directors of the Company in proportion to their respective investments in the Equity Capital of the Company. As per the Memorandum of the Association of the Company, the number of Directors on the Board shall not be less than three and not more than eight, which works out to 7 Directors to be nominated by the Govt. of India including the Chairman-Cum-Managing Director and 1 Director by the Govt. of Andhra Pradesh.   Further, Govt. of India shall have the right to appoint Chairman-Cum-Managing Director and Functional Director of the Company (whole time), to manage and conduct the business of the Company subject to its control, direction and superintendence.   The present composition of the Board of Directors of the Company is furnished below:

The duties of Chairman-Cum-Managing Director are as follows:

 

The Chairman-cum-Managing Director is the Chief Executive of the Company and accountable to the Board of Directors and Government.  He is responsible for efficient functioning of the Company for achieving its corporate objectives and performing parameters.

Powers and duties of Works Division Executives :

 

Shri G.C. Bhaktavatsalam, I/C. General Manager (Operations)

 

He is head of entire plant operations which includes Operations and Maintenance Department, Personnel & Administration Department and local functions of F&A Department at Plant Office.  He is assisted by DGM (P & RM ), Dy. Chief Manager (Electrical) ,   Sr. Manager (Stores), Sr. Manager (OL, P&A),   DM (Systems) and  Asst. Manager (P&A) and Junior Officer/Junior Engineer in respective disciplines   to look after various activities related to plant operations and maintenance, materials management  and human resources function.

 

The work profile of General Manager includes entire gamut of operations of plant comprising of planning,  production, maintenance,  quality and product dispatch; supply chain management;    coordinating human resource function at factory which include implementation of labour laws, welfare measures and dealing with statutory authorities; factory administration participation in tender committees relating to  procurement of spares and maintenance works  as Chairman;  implementing  marketing and sales plan.  As Manager of Factory coordination with all statutory authorities. He is also the chairman of SIIL employees EPF Trust.

 

He looks after maintenance function of entire plant assisted by Sr. Managers in Mechanical Maintenance, Electrical Maintenance, Instrumentation, Safety and planning and by two Dy. Managers in Raw Material Preparation plant and Captive Power Plant   He also looks after procurement function assisted by Asst.  Manager (Materials).

 

The work profile of Dy. General Manager (P&RM) includes the complete maintenance functions encompassing the total maintenance and development aspect in his expertise, adhering and practicing best and latest maintenance systems, ensuring zero down time managing the performance and establishing the long term maintenance operations.   Establishing and monitoring the achievement of the efficiency and cost  reduction targets; ensure technical integrity and H S E (Health Safety & Environment)  targets; procurement of equipment spares and  engineering items

 

Stores & Marketing Despatch Section  :

He looks after stores and marketing despatch sections. He is assisted by Asst. Manager in stores and junior officers in dispatch section.

 

His work profile includes inventory management of equipment spares and engineering items, indenting and maintaining of stock items, implementing marketing and commercial plans of the organization, internal sales logistics, ensuring sales delivery schedules and liaisoning work with central and state excise departments

 

Raw Material Department :

 

Shri T.R.D.Prasad, Dy. Chief  Manager(Elec) / Raw Materials

 

He looks after Ram Material department. He is assisted by Junior officers.

 

His work profile includes indenting of raw materials, inventory management of raw materials, receipt and issue of raw materials to plant, recording of raw materials, products and waste products and internal logistics of raw materials, products and waste products.

 

Maintenance Dept :

 

Shri M. Raj kumar, Dy. Chief Manager:

 

He looks after mechanical maintenance of plant equipment  assisted  by 2 Deputy Managers ,2 Asst. Managers , Junior Officers and technicians.

 

His work profile includes day to day maintenance, trouble shooting, preventive, corrective  and planned maintenance activities of plant equipment, guiding, controlling and motivating a team of supervisory and skilled technicians, high level of planned work, high equipment availability, establishing close coordination between maintenance and production departments  to ensure zero downtime.

 

Shri C. Ravindran,  Dy. Chief Manager

 

He looks after electrical maintenance of plant equipment  assisted  by  Deputy Managers, Asst. Managers , Junior Officers and technicians.

His work profile includes day to day maintenance, trouble shooting, preventive, corrective  and planned maintenance activities of plant equipment, guiding, controlling and motivating a team of supervisory and skilled technicians, high level of planned work, high equipment availability, establishing close coordination between maintenance and production departments  to ensure zero downtime.

  

He looks after planning and procurement of spares and other items and township electrical maintenance.    He is assisted by Dy.  Manager (Mechanical), Jr. Officer and technicians.

 

His work profile includes indenting of spares, maintaining  spares inventory, preparation of  equipment maintenance schedules, plant maintenance planning, preparation of maintenance budgets,  reporting  maintenance key figures and coordinating contract maintenance works;  electrical maintenance of township residential units.

 

Shri Ch. Bhimeswara Swamy, Sr. Manager

 

He looks after Instrumentation cell assisted by Asst. Manager and technicians.  

 

His work profile includes maintenance and trouble shooting of process control and monitoring equipment, PLC based control systems and calibration of different  measuring systems; guiding, controlling and motivating a team of supervisory and skilled technicians, high level of planned work, high equipment availability, and establishing close coordination between maintenance and production departments to ensure zero downtime.

 

Shri K. Venugopala Charya, Sr. Manager

 

He looks after safety and house keeping of  plant.

 

His work profile includes inspection and manufacturing process, hazard identification and correction, analysis of vulnerable zones,  implementing safe work practices, conducting safety audits and safety committee meetings; coordinating plant house keeping works and liaisoning work with AP Genco/NP Discom  authorities

Marketing:

 

                As per the prices fixed by the Price Fixation Committee (PFC). 

 

                Issuance of DA & SO

 

                Dispatching products as per the delivery schedule, follow up for payments, maintaining the ledger for individual customer.

 

                Redressing quality problems of the customer, if any, in consultation with Works Division.

 

Contracts:

 

                As per the indent received from the Works Division, finalization of annual contract for transportation and supply of raw materials.

 

                Awarding petty contracts/emergency purchases for the plant from Hyderabad market, etc.

 

Engineering & Projects:

 

Under this division, Consultancy Services for setting up of coal based Sponge Iron plants are given.  This includes preparation of feasibility reports, testing of raw materials, preparation of equipment specifications, assisting the clients in the selection of turn key Contractors, rendering supervision work during erection of the equipment and assisting in the commissioning of plant, etc.  Personnel from works division will also be involved.

 

Shri K. Ravindranath is assisted by Two Executives.  Shri V. Mallikarjuna, Deputy Chief Manager (Met) and Shri K. Hari Kishan, Deputy Chief Manager(Met).  Shri V. Mallikarjuna who has been posted as Resident Engineer in Chennai, mainly to look after the Chennai market.  Other regions will be looked after by Shri K. Hari Kishan in addition to E&P jobs.  Also Two Junior Officers and one Stenographer will assist the department for maintaining the ledgers, issue of SO & DA and for other secretarial and local purchases etc.

 

Finance & Accounts Division (includes Company Secretary, EDP & Legal Cell):

 

Finance & Accounts, EDP, Secretarial and Legal Departments of the Company are under the control and supervision of CMD only.   The brief details are as under:

 

Finance & Accounts:

 

Finalisation of Accounts of the Company and Auditing of the same, preparation of cost sheets, budgets, planning of funds/investments, expenditure monitoring, monthly performance review, tax matters, funds mobilisation, banking, MIS, forwarding of reports/returns to Government, financial concurrence and all other related activities.

 

Secretarial & Legal Department”

 

Convening of Board Meetings, General Body Meeting and Audit Committee Meetings, Transfer of Shares, Filing of Forms and Returns with ROC, Maintenance of Statutory Books, Institution of various Civil and Criminal Cases as well as defending the cases filed against the Company and other Corporate related matters.

 

The functions of the Division are distributed at the Regd. Office and Plant Office.  While the Legal Cell operates from Regd. Office, the EDP Department operates from Plant Office. 

 

At the Regd. Office, the Chief (F&A) is assisted by Shri M.A. Jilani, Asst. Manager (Finance) and Shri Bh. Padmanabham, Asst. Manager (Finance).  In the matters of Legal Cell, Chief (F&A) is assisted by One Junior Officer (Lawl).

 

The distribution of work amongst the Asst. Managers is as follows:

In the case of the Finance & Accounts work at Plant Office, Shri T. Suryanarayana, Dy. Manager (Systems) in addition to his duties of EDP Department is In-charge of the Finance & Accounts Department.  He is assisted by Shri Azar Baig, Asst. In the matter relating to Executive Establishment and Administration Shri M.V.S.R. Prasad,  Dy. Manager (P&A) reports to CMD.    Duties of Dy. Manager (P&A) are as follows:

 

He is in charge of the Department.  His duties cover manpower planning, recruitment, performance appraisal system, promotion policy and rules, probation confirmation of executives, training and development, deputation, pay and related matters, TA/DA rules, city compensatory allowance, reimbursement of local travel expenses, house building advance, interest free medical advance, incentive scheme for promoting small family norms, incentive schemes leave rules, hospitalization scheme, VRS, premature retirement scheme, CDA rules, administration works covering communication, central despatches, travel arrangement, Khanij Bhavan maintenance, security, awarding annual maintenance contract pertaining to administration.

 

Powers of the CMD & Divisional Heads:

 

The Chairman-cum-Managing Director shall exercise the powers vested in the Board of Directors, in accordance with their policy for conducting affairs of the Company except those listed in the appendix which will require the approval of the Board of Directors.  The exercise of these powers by the CMD will be subject to the provisions of the Companies Act, 1956, the Memorandum and Articles of Association of the Company and the Policies laid down by the Board of Directors from time to time. 

 

The CMD may sub-delegate the powers conferred upon him to Divisional Heads and Other Officers of the Company from time to time, subject to such conditions has he may  deem fit. 

 

The CMD shall have full powers to institute, defend, compound or abandon legal proceedings or refer claims to arbitration and execute powers of attorney and sign vakalatnamas, Paints, written statements and other documents and papers for and on behalf of the Company.

 

 In an emergency, the CMD may within the ambit of operational necessity and efficiency assume full powers of the Board provided that a report is made to the Board soon after and ex-post-facto approval obtained, wherever necessary.

 

The powers together with the conditions mentioned above shall vest in the Chief Executive of the Company irrespective of his designation.

 

APPENDIX

 

 

1.0      Financial:

 

1.1    Budget:

a)      Annual budget estimates both capital and operational and estimates involving foreign exchange.

 

b)      All long term plans and programmes of the Company.

 

 

1.2    Capital Expenditure:

a)       Project estimates as a whole for expansion of, and additions and modifications to existing facilities of the Plants and Township and/or for establishment of new units and facilities/additions/modifications costing over Rs.200 lakhs in each case.

 

b)       Excess over approved estimates of capital schemes where the excess over estimates is more than 10% for the total scheme.

 

c)       All estimates of capital work programme and capital expenditure for additions, alternations/modifications and replacements to the existing assets/plants, in each case above Rs.50 lakhs not included in the approved capital budget for the year subject to overall budget limits.

 

1.3    Write offs & Settlements:

a)     Write-off of any items of stores, equipment, tools and plants and materials other than raw materials above the value of Rs.5.00 lakh in each case.

 

b)     Write-off of each loss amounting to Rs.10,000 in each case.

 

c)      Write-off of raw material shortages exceeding the prescribed limits.

 

d)     Settlement of disputed claims over the value of Rs.10 lakhs.

 

e)     Disposal of stores/equipment, plant and machinery exceeding Rs.5.00 lakhs (sale value) in each case.

 

1.4    Miscellaneous

a)     Grant of donations or ex-gratia payments not arising from recognized rules relating to amenities and welfare, over Rs.10,000 in each case and exceeding Rs.50,000 in one year.

 

b)     Payment to non-employees other than on account of the affairs of the Company.

 

2.0     Contracts:

a)     Placing of orders or incurring of any commitment exceeding Rs.5 crores in respect of any contract for works and equipment.

 

b)     Award of contract of the value of Rs. 5 crores and above forming a component of the project already sanctioned.

 

c)      Any contracts and/or commitments involving a period longer than 5 years and of value exceeding Rs.5 crores in each individual case except for items for which statutory price controls are in existence.  (This will not apply to contracts for works and equipments.)

 

d)     Any major deviation or alteration by which the resultant value of the contract referred to at 2.2 above exceeds Rs.5 crores.

 

3.0      Marketing:

Policy matters relating to sales and marketing of Company’s products, relating opening of Branch Offices/Stockyard, appointment of Consignment Agents/Trade Representatives, etc.

 

4.0      Establishment:

4.1          General

a)       Framing of rules and regulations relating to conduct, recruitment, placement, promotion, deputation and other conditions of service and changes therein in respect of employees of the Company other than those procedural in nature.

 

b)       Retention of employees beyond superannuation.

 

4.2          Pay and Fringe Benefits to Employees

a)         Formulation of wage structure and scales of pay of employees of the Company and any change therein.

 

b)         All policy matters relating to traveling, dearness and other allowances.

 

4.3          Appointment

a)     Appointments reserved for approval of Govt. of India.

 

b)     Appointments of experts/consultants/technicians where the remuneration/ fee exceeds Rs.20 lakhs in each case.

 

5.0     Fixed Assets

5.1          Land and Immovable Property:

a)              Sale or disposal in any form of any immovable property vested in the Company.

 

b)              Policy for allotment of land to outside parties.

 

c)               Acquisition of land not forming part of any sanctioned project/scheme.
